Companion ITCS LLC ("Companion ITCS E-E-Hire") provides ehire.companionitcs.com and its related services ("Service") subject to your compliance with the terms and conditions ("Terms of Service") set forth below. Please read the following carefully.

Companion ITCS reserves the right to update and modify the Terms of Service at any time without notice. New features that may be added to the service shall be subject to the Terms of Service. You should continue to use the service after any such modifications have been made, this shall constitute your agreement to such modifications.

You may always view the most recent copy of the Terms of Service on this page. Violation of any part of the Terms of Service will result in termination of your account.

SUPPORT AND SERVICES

Companion ITCS provides a cloud server (including storage), hosting, infrastructure capacity as a part of service necessary to provide a commercially reasonable level of performance by E-Hire.

Companion ITCS provides all documentation, specifications, and training materials (how to use the software) to all Authorized Users, help desk, and support staff to effectively use the E-Hire and support the services.

Customer may notify Companion ITCS about any errors in E-Hire using any of the following methods: a. Technical Help Desk (available during business hours) b. Support Phone: +1 845-202-3549 c. Support Email: support@companionitcs.com

Companion ITCS may provide emergency support to the Customer with an emergency off-hour operated 24/7/365 by assigned support personnel who may be contacted in the event of an emergency.

USER ACCOUNTS

Companion ITCS issues a separate user account (with registered unique email id and password) to every Authorized User who accesses the E-Hire.

Customer shall use its best efforts to ensure that passwords associated with the User Accounts remain confidential and secure and not to allow multiple users to utilize the same User Account.

Customer shall not provide, or provide access to, a User Account to any third party without the prior written consent of Companion ITCS.

The Customer will report any compromise of passwords to Companion ITCS as soon as possible. Also, the Customer will use the administrative functions of the E-Hire to disable any User Accounts in question as well as disable the User Accounts of any person who leaves the employ or services of the Customer or is otherwise no longer an Authorized User.

CUSTOMER DATA

Companion ITCS is not responsible for any activities conducted between the end-users. All workflow created in the system should be evaluated and finalized by the Customer authorized personnel before going live. Customer Authorized users should review and confirm all the webforms and PDF generated in the system to ensure that the system meets the needs of the policies and procedures of the organization. Companion ITCS will not be responsible for any issues caused by the usage of the system.

Users will be able to review the training materials and can also complete the test, which is provided by the Customer. Companion ITCS is not responsible for the training materials uploaded by the Customer. All training sessions should be confirmed and managed by the Customer Authorized users.

  • Companion ITCS does not own any of the data, information, or material that Customer submits or enters into the E-Hire ("Customer Data").
  • Customer shall have sole responsibility for the accuracy, compliance, quality, integrity, legality, and reliability of all Customer Data.
  • Customer may not use the E-Hire to transmit any viruses, worms, or malicious content.
  • Although Companion ITCS will work with Customer or its Authorized users to redesign and confirm training materials with your authorized instructors for the Customer E-Hire account, we will not be liable to any materials approved and uploaded by the Customer or Authorized users.
  • E-Hire system is designed to change the manual recruitment process into electronic, but since the network and the software is subject to change based on different factors in time. We strongly recommend the agency to download the completed Employee application packet and save it in their local hard drive or print out to keep a manual copy.
  • Companion ITCS keeps Customer Data into the database in encrypted format for security purposes.
  • Companion ITCS ensures the agency and the end-users activities are kept confidential, but while processing Customer Data, including invoices, payment reminders, and personal messages may be transferred unencrypted.
  • Companion ITCS has the right to cancel your account if any illegal data found in Customer's application packet or training materials.
  • Customer acknowledges and agrees that Companion ITCS has no obligation to retain the Customer Data once this Agreement has been terminated, and may delete such Customer Data thirty (30) days after termination. If Customer requests in writing that Companion ITCS to provide a copy of Customer Data to Customer upon termination, then Companion ITCS shall provide one (1) copy of such data to Customer in a commercially reasonable format at Companion ITCS' discretion; provided that all Fees due and owing to Companion ITCS as of the date of termination have been paid in full.

INTELLECTUAL PROPERTY

  • The source code of the E-Hire is not part of the subject matter of the Agreement.
  • Companion ITCS reserves all intellectual property rights and any other rights and licenses in and to the E-Hire and any derivative works, including all changes, modifications, or improvements made or developed concerning the E-Hire, whether or not created or extended at the Customer's request.
  • The Customer acknowledges that the E-Hire contains Companion ITCS trade secrets.
  • The Customer will not allow or enable any third party to, derive source code from, copy, market, export, translate, reverse engineer, transmit, merge, modify, adapt, share, host, hyperlink to, frame, store, disclose, license, rent, sell, loan, lease, sub-license or otherwise transfer or distribute the E-Hire or any component of the E-Hire or any customer username or password.
  • Customer hereby grants Companion ITCS a nonexclusive, no sublicensable, nontransferable right and license to utilize Customer's name, symbol, logo, and trademarks, whether registered or unregistered, for the purpose marketing, advertising, promotion, and for use in press releases related to this engagement.

TERM & TERMINATION
TERM

The initial term of this Agreement shall be for the period indicated in the Order Form (the "Initial Term"), beginning on the Effective Date. After that, this Agreement shall be automatically renewed every 1st of the month (each a "Renewal Term" and all Renewal Terms together with the Initial Term, the "Term"), unless either party provides the other party with at least fifteen (15) days prior written notice of its intent to terminate this Agreement.

TERMINATION

The Customer may terminate this Agreement for "Cause," after giving Companion ITCS written notice of the reason. Cause means:

  • Companion ITCS has breached the provisions of Confidential information of Customer, strong support in any respect, or materially breached any other provision of this Agreement and the breach continues for 30 days following receipt of a notice from the Company.
  • Companion ITCS has committed fraud, misappropriation, or embezzlement in connection with the Customer' s business.
  • Companion ITCS has been convicted of a felony; or
  • Companion ITCS's detrimental effect on the performance of his or her employment responsibilities, as determined by the Customer.

RESPONSIBILITY UPON TERMINATION

  • Customer Data under this Agreement shall immediately upon the termination of this Agreement be returned to the Customer.
  • The customer account shall be closed with the written notice to the Customer.
  • Customer Data will be completed removed from the database and system.

SUSPENSION

Companion ITCS has sole right to suspend Customer's account for E-Hire if the Customer fails to

  • Pay the remaining amount due within ten (10) days of its due date.
  • Remember the account password.
  • Cure any material breach of this Agreement within fifteen (15) days after written notice of such breach.

CONFIDENTIAL INFORMATION
DEFINITION

"Confidential Information" means information not generally known and proprietary to the Customer or to a third party for whom the Customer is performing work, including, without limitation, info concerning any patents or trade secrets, confidential or secret designs, processes, formulae, source codes, plans, devices or material, research and development, proprietary software, analysis, techniques, materials, or designs (whether or not patented or patentable), directly or indirectly useful in any aspect of the business of the Customer, any vendor names, Customer and supplier lists, databases, management systems, and sales and marketing plans of the Customer, any confidential, secret development or research work of the Customer, or any other sensitive information or proprietary aspects of the business of the Customer. All information which Companion ITCS acquires or becomes acquainted with during the period of this Agreement, whether developed by Companion ITCS or by others, which Companion ITCS has a reasonable basis to believe to be Confidential Information, or which is treated by the Customer as being Confidential Information, shall be presumed to be Confidential Information.

PROPERTY OF COMPANION ITCS

Companion ITCS agrees that all plans, manuals, and specific materials developed by the Companion ITCS on behalf of the Customer in connection with services rendered under this Agreement, are and shall remain the exclusive property of the Customer. Promptly upon the expiration or termination of this Agreement, or upon the request of the Customer, Companion ITCS shall return to the Customer all documents and tangible items, including samples (if any), provided to Companion ITCS or created by Companion ITCS for use in connection with services to be rendered hereunder, including, without limitation, all Confidential Information, together with all copies and abstracts thereof.

BACKUP & DISASTER RECOVERY

This Exhibit represents a description of our internal policies and procedures regarding backup and recovery. They are subject to change at any time without prior notice.

SECURED LOCATION

E-Hire is a cloud-based software solution that is hosted in Google cloud, and the central server is based in a secure hosting location in Ashburn, Northern Virginia, USA. Our server is only accessed by the Companion ITCS team with confidential login credentials. A secondary location is used for disaster recovery. Communication between locations is done through an encrypted channel or using encrypted data.

AVAILABILITY

Companion ITCS uses a synchronous database mirroring to provide real-time redundancy of our databases in case of hardware failure. Companion ITCS connectivity is provided by our hosting company, which is equipped with redundancy.

BACKUP PROCEDURES

Nightly backups are taken and copied to our backup server. Companion ITCS still recommends that to download your training materials/complete application packets on your local drive.

PURCHASE PRICE; TERMS OF PAYMENT

The E-Hire's purchase price, including the SUPPORT, shall be subject to the respective offer plus value-added tax.

The purchase price shall be due and payable upon the issuance of the invoice.
